LONDON (Dec. 3, 2013) —Linda Crow, a corporate partner in the London office of Faegre Baker Daniels LLP, has provided expert insight for a study by the European Commission on the cross-border mergers directive (CBMD).
The research was conducted to assess how well the Directive is being implemented in all EU member states and its practical effects on companies involved in cross-border mergers. The Commission anticipates that the study will help determine EU policy on cross-border mergers in years to come.
Crow provided the Commission with information about cross-border mergers she has been involved with, along with anecdotal insight about her experience and difficulties she has had with the cross-border merger procedure set forth in the 2005 directive and the subsequent implementing legislation in EU Member States.
The study, conducted and written by a team of 58 attorneys and legal researchers over a nine-month span, has been published and can be accessed here. Among other benefits, the study found that the CBMD has resulted in efficiency gains and cost savings since its 2007 implementation.
Additionally, five main drivers of cross-border mergers were revealed as a result of the study. They are: synergies and business strategy, reducing organizational costs, minimizing costs of regulatory compliance, tax planning and business-friendly regulatory environments.
