Emmanuelle van den Broucke heads the competition and Community law practice of the Paris office.

Emmanuelle van den Broucke specializes in the analysis of merger, buy-out and joint venture agreements and, where necessary, their notification to the French authorities and the European Commission. She assists and advises clients during proceedings for alleged anti-competitive practices before the French Competition Authority and the French courts. She has also undertaken audits, helped clients to put in place compliance programs and works closely with other lawyers of Salans on compliance and risk issues. She has excellent knowledge of the life sciences sector, as well as the luxury and food sectors.

Emmanuelle also has thorough expertise in the French regulation of restrictive practices, advising clients on the negotiation and implementation of annual framework agreements and conditions of sale as well as compliance of their business practices with respect to the provisions of commercial law or specific regulations on certain products.

She is also regularly consulted on the setting-up of distribution networks, including drafting and negotiating distribution agreements of all types and assisting clients in the event of their breach.

Emmanuelle is the editor of a monthly newsletter on competition issues and is the exclusive contributor for France to International Law Office Competition Newsletter.

Experience:

• Assisting an industrial provider in the modification of its distribution network in France and on the pre-litigation process regarding agreement termination

• Multijurisdictional review of a distribution scheme involving coordination with 28 jurisdictions

• Assisting an international supplier of dairy products in an on-going investigation by the French Competition Authority

• Assisting a major French supplier of luxury products in a procedure initiated by the French Competition Authority for its alleged participation in vertical price-fixing agreements

• Assisting an international car distributor in its notification to the European Comission of its joint venture with an international car manufacturer

• Assisting one of the three main players in temporary employment services in a procedure before the French Competition Authority for alleged exchanges of information to limit competition on major accounts

• Advising the French subsidiary of an American pharmaceutical company in a dispute before French courts for the alleged abusive and abrupt termination of a major distribution contract and for a judicial appraisal of damages

• Assisting a toy maker in the proceedings before the French competition authorities for alleged price fixing practices between the producers and distributors

• Advising Europe’s second largest salmon procedure on its dual acquisition of the market leader and the smallest market operator, including during the Phase II merger control investigation before the French Competition Authority and during the negotiation of undertakings with the French Minister for the Economy

• Defending a Parisian luxury hotel in proceedings for alleged illegal information exchanges before the Competition Authority and the Paris Court of Appeal

• Conducting an in-depth antitrust audit of the French subsidiary of a leading European pharmaceutical group analysing the legality of its commercial practices regarding sales to pharmacies and hospitals

• Conducting an in-depth antitrust audit of a major French food producer
